Terms of Service

Please read these terms carefully before using our services. By engaging AIHub.au, you agree to these terms.

1. Acceptance of Terms

By accessing or using the AIHub.au website (aihub.au) or engaging any of our AI consulting, automation, website or digital business services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, users, clients and others who access or use our services. AIHub.au reserves the right to update these Terms at any time. Continued use of our services after any changes constitutes your acceptance of the revised Terms. We will notify you of any material changes where reasonably practicable.

These Terms are governed by the laws of Western Australia, Australia, and you agree to submit to the exclusive jurisdiction of the courts in Western Australia for any disputes arising from these Terms or our services.

2. Services Provided

AIHub.au provides outcome-based AI consulting, automation, workflow integration, website design, CRM configuration, lead generation and related digital business services to Australian businesses.

  • Our services include but are not limited to:
  • AI strategy consulting and opportunity audits
  • Website design and development incorporating AI-assisted features
  • AI receptionist and call handling configuration
  • Chatbot design and deployment for websites and messaging platforms
  • CRM configuration, workflow automation and system integration
  • Business process automation across sales, service, administration and operations
  • AI-assisted SEO and content strategy services
  • Ongoing optimisation, reporting and support

The specific scope, deliverables, timelines and pricing for each engagement are agreed upon in writing prior to commencing work, through a separate Service Agreement or Statement of Work.

3. Client Obligations

To enable us to deliver our services effectively, you agree to:

  • Provide accurate, complete and timely information about your business, systems and requirements
  • Grant us reasonable access to your website, CRM, software platforms and relevant business information required to complete the agreed scope
  • Designate an appropriate contact person with authority to provide approvals and feedback during the project
  • Review and provide feedback on deliverables within agreed timeframes
  • Ensure that any third-party tools, platforms or accounts you ask us to integrate with are licensed appropriately and that you have the right to grant us access
  • Comply with all applicable laws, including data privacy laws, in connection with your use of our services and any AI or automation systems we configure for you

Delays caused by failure to meet these obligations may affect project timelines and are not the responsibility of AIHub.au.

4. Fees and Payment

Fees for our services are outlined in the relevant Service Agreement or proposal document provided to you prior to engagement.

  • **Payment Terms:**
  • Project fees are typically structured with a deposit due before work commences, with the balance due upon project completion or at milestone stages as agreed
  • Ongoing retainer or subscription services are billed monthly in advance
  • Invoices are due within 14 days of the invoice date unless otherwise agreed in writing
  • Overdue invoices may attract interest at a rate of 2% per month on the outstanding amount
  • We reserve the right to suspend services where payment is outstanding by more than 30 days
  • **Refunds:**
  • Deposits paid to commence work are non-refundable once work has commenced, except where AIHub.au is unable to deliver the agreed services
  • Refund requests for completed project milestones will be assessed on a case-by-case basis with reference to the value of work already delivered

All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. GST will be added to all invoices as applicable.

5. Intellectual Property

Your Content: You retain ownership of all content, data, branding materials and intellectual property you provide to AIHub.au for the purpose of delivering our services. By providing this material, you grant us a limited licence to use it solely for the purpose of delivering your project.

Deliverables: Upon receipt of full payment, intellectual property in the custom deliverables created specifically for your business (such as custom website designs, automation workflows and content) is assigned to you.

AIHub.au Tools and Frameworks: We retain ownership of all proprietary tools, frameworks, templates, methodologies and underlying technology that we use or develop in the course of providing services. Where we use proprietary tools or platforms that remain our property, you will receive a licence to use the output of those tools as part of your project deliverable.

Third-Party Technology: Where our services incorporate third-party software, platforms or tools (such as CRM systems, chatbot platforms or automation tools), those products remain the intellectual property of their respective owners and are subject to the terms and conditions of those platforms. We are not responsible for changes to third-party platform terms or pricing.

6. Confidentiality

Both parties agree to keep confidential any information received from the other party that is marked as confidential or that would reasonably be understood to be confidential in nature, including but not limited to business strategies, client lists, financial information, systems and operational processes.

  • This obligation does not apply to information that:
  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party before disclosure
  • Is independently developed by the receiving party without reference to the confidential information
  • Is required to be disclosed by law, court order or regulatory authority

Confidentiality obligations survive termination of any service agreement for a period of two (2) years.

7. Limitation of Liability

To the maximum extent permitted by Australian law, AIHub.au's total liability to you for any claim arising out of or in connection with our services, whether in contract, tort, negligence or otherwise, is limited to the total fees paid by you to AIHub.au in the three (3) months preceding the relevant claim.

AIHub.au is not liable for any indirect, incidental, special or consequential losses including but not limited to loss of revenue, loss of profits, loss of data, loss of business opportunity or business interruption, even if we were advised of the possibility of such losses.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Australian Consumer Law.

We make no guarantee that our services will achieve specific business outcomes, rankings, conversion rates or revenue results. All projections or estimates provided during strategy calls or proposals are indicative only and not a guarantee of performance.

8. Indemnification

You agree to indemnify, defend and hold harmless AIHub.au, its directors, employees, contractors and agents from and against any claims, damages, costs, liabilities or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of our services in breach of these Terms
  • Your breach of any applicable law, including privacy laws
  • Any content or material you provide to us that infringes the intellectual property rights of a third party
  • Any inaccurate or misleading information you provide to us that causes harm to AIHub.au or a third party

This indemnification obligation survives the termination of your engagement with AIHub.au.

9. Termination

Either party may terminate an ongoing service engagement with 30 days written notice to the other party, unless a different notice period is specified in the relevant Service Agreement.

  • We may terminate services immediately, without notice, where:
  • You have failed to make payment and the overdue amount remains outstanding after a payment notice has been issued
  • You are in material breach of these Terms and have failed to remedy the breach within 7 days of written notice
  • You engage in conduct that is harmful, illegal or seriously damaging to AIHub.au's reputation or business
  • Upon termination:
  • You will be invoiced for all work completed to the date of termination
  • We will return or delete your confidential information and data upon written request
  • Any licences granted to you for completed deliverables will continue to apply for work that has been fully paid for

10. Website Use

By using the AIHub.au website, you agree to:

  • Use the website only for lawful purposes and in a manner that does not infringe the rights of others
  • Not attempt to gain unauthorised access to any part of our website or its related systems
  • Not use automated tools to scrape, harvest or extract data from our website without prior written consent
  • Not submit false, misleading or fraudulent information through any form or enquiry on our website
  • Not use our website in a way that could damage, overburden or impair its performance

We reserve the right to suspend or restrict access to our website for any user we reasonably believe is violating these terms.

11. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement.

  • We do not warrant that:
  • Our website will be uninterrupted, error-free or free from viruses or harmful components
  • The results obtained from our services will meet your specific expectations
  • Third-party platforms or tools used in our service delivery will remain available or unchanged

Nothing in this disclaimer excludes any rights you may have under the Australian Consumer Law that cannot be excluded by contract.

12. Governing Law and Disputes

These Terms are governed by the laws of Western Australia, Australia. Any disputes arising from or relating to these Terms or our services will be resolved as follows:

  • You will first contact us at hello@aihub.au to attempt to resolve the dispute informally within 14 days
  • If the dispute is not resolved informally, both parties agree to attempt mediation through a mutually agreed mediator before commencing formal proceedings
  • If mediation is unsuccessful, the dispute will be resolved through the courts of Western Australia

You agree to submit to the exclusive jurisdiction of the courts in Western Australia for all disputes that cannot be resolved through the above process.
